1. Definitions

“Publisher” refers to BOOKI.
“Author” refers to any individual or entity submitting a manuscript for publication.
“Work” refers to any book, manuscript, or content submitted for publication.
“Reader” refers to anyone who accesses or purchases published works.

2. Publishing Agreement

• The Author retains copyright ownership of their Work unless otherwise agreed upon in writing.
• By submitting a Work, the Author grants the Publisher a non-exclusive, worldwide license to publish, distribute, and market the Work.
• The Publisher reserves the right to accept or reject any submission at its discretion.

3. Royalties and Payments

• The Publisher will compensate the Author based on agreed royalty rates, as outlined in a separate contract.
• Payments will be made on a quarterly basis, subject to minimum payout thresholds.
• The Publisher reserves the right to withhold payments in cases of copyright infringement claims or contract breaches.

4. Editing and Formatting

• The Publisher may suggest editorial changes, which the Author can approve or decline.
• The Author is responsible for ensuring the accuracy and originality of their Work.

5. Marketing and Distribution

• The Publisher will make reasonable efforts to market and distribute the Work through various channels.

6. Copyright and Intellectual Property

• The Author guarantees that their Work does not infringe on any third-party rights.
• Any copyright disputes will be handled as per legal guidelines, and the Publisher may remove disputed content until resolution.

7. Termination

• Either party may terminate the agreement with written notice, subject to contract terms.
• Upon termination, the Publisher will cease distribution, but prior sales and royalties remain valid.

8. Liability and Indemnification

• The Publisher is not responsible for legal claims arising from the Author’s content.
• The Author agrees to indemnify the Publisher against any legal disputes related to the Work.

9. General Terms

• These Terms and Conditions are governed by the laws of Nigeria.
• Any disputes shall be resolved through arbitration or the appropriate legal channels.
